Terms of Service

Thank you for using HookDoc ("the Service"). These Terms govern the agreement between you and HookDoc's operator. Please review them before signing up, sharing links, or paying for a plan. This is a beta-stage draft and will be finalized after a full legal review prior to public launch.

1. Service description

HookDoc converts PDF proposals into page-based web review spaces. Reviewers can open the document without signing up, leave area-anchored comments, and pick a structured review outcome before they close the tab. Senders get back signals — which reviewer sessions opened the document, which page held attention the longest, and what outcome was selected.

The Service does not include authoring tools, e-signature, or contract management. It is a niche product that augments the PDFs you already produce during the review window only.

2. Accounts and eligibility

Sign-up is via Google OAuth only. Users must hold a valid Google account. Users under 14 are not permitted to sign up.

On sign-up a single-member workspace is created in the background. Member invitations will arrive in v1.1. You are responsible for your account's security, including your Google session and any credentials.

3. Beta period and pricing

The service is currently in private beta. During the beta period, paid billing is not enabled, and all features are provided to beta users free of charge.

If a paid plan is introduced in the future, the pricing, payment processor, and beta-user benefits will be announced in advance. Beta users may receive preferential terms for a period after general availability, with specific conditions communicated separately.

4. Acceptable use

The following are prohibited: (a) uploading content that infringes third-party IP or privacy rights, (b) uploading another person's confidential data without authorization, (c) distributing spam, malware, or illegal content, (d) abnormal load or vulnerability probing of servers/APIs, (e) unauthorized attempts to access other users' accounts.

Confirmed violations may result in account suspension, document removal, or link revocation without prior notice.

5. Intellectual property

Copyright of the PDFs you upload and the comments you leave remains with you. HookDoc stores, renders, generates annotated derivatives, and delivers content to reviewers only for the purpose of operating the Service.

HookDoc's logo, UI design, source code, and brand elements are the operator's property and may not be copied or redistributed without permission.

6. Termination

You may permanently delete your account at any time in `/app/settings`. On deletion, all uploaded documents and derivatives are immediately hard-deleted from R2. Database records are soft-deleted for 30 days for audit and then fully purged.

Paid plan subscribers retain access until the end of the current billing cycle and then automatically move to the Free plan. HookDoc may terminate accounts after prior notice in the event of a material breach of these Terms.

7. Disclaimer and limitation of liability

The service is provided "as is." HookDoc does not warrant uninterrupted availability, fitness for a particular purpose, or freedom from errors.

Where the AI reply draft feature is provided, HookDoc does not warrant the accuracy, completeness, legal suitability, or contractual suitability of AI drafts and is not liable for outcomes arising from the sender using AI drafts as-is or with modifications.

To the maximum extent permitted by law, HookDoc's total liability shall not exceed the total service fees paid by the user during the twelve months preceding the relevant claim. For free beta users, liability is disclaimed to the maximum extent permitted by law. HookDoc is not liable for indirect damages, lost profits, or data loss. Backing up your original files before upload is recommended.

8. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of Korea. Disputes related to the Service are subject to the exclusive first-instance jurisdiction of the court covering the operator's principal place of business.

When these Terms change, we will notify you at least 7 days in advance by email or in-service notice. Continuing to use the Service after the effective date constitutes acceptance of the updated Terms.

9. Sender obligations and HookDoc's own notice (dual structure)

9.1 You, as the sender, are responsible for informing the recipients of links you share that this Service automatically analyzes page views, clicks, scrolls, and other engagement signals and surfaces them to you as review signals. We recommend including a short notice in your accompanying email or message.

9.2 HookDoc also provides a viewer-facing notice directly: a slim disclosure rail is permanently shown at the bottom of every reviewer page, together with a link to this Privacy Policy. HookDoc's direct notice does not relieve you of your sender-side obligation in §9.1; the two notices apply cumulatively.

9.3 As the data controller for the recipient-side processing, HookDoc states the collection categories, purposes, legal basis, and retention period in the "Recipient (Reviewer) data processing" section of the Privacy Policy. The processing relationship between HookDoc and you (the sender) follows the formal requirements of Korean PIPA Articles 17 (delegation of personal data processing) and 26 (obligations of the delegator).

AI-Assisted Reply Drafts

HookDoc may provide an AI-Assisted Reply Draft feature to help senders respond to reviewer comments more quickly and accurately.

AI reply drafts are auto-generated assistive text and do not constitute legal advice, contract advice, professional consulting, or final decision-making guidance. Senders are responsible for reviewing and editing AI-generated drafts before use.

AI reply draft generation may use minimum information required for draft generation, such as the reviewer's comment body, selected proposal region quote, page number, and comment type. Data not needed for draft generation — such as cookie IDs, IP addresses, raw User-Agent, full browserVersion, session replay, R2 storage keys, and signed URLs — is not sent to the AI provider.

During the beta period, the feature may be disabled or its scope may change. HookDoc does not warrant the accuracy, completeness, legal suitability, or contractual suitability of AI drafts.
